License Agreement

Exclusive Beat License

This agreement governs the exclusive license of a musical work produced by MasterMillionBeats. It becomes effective after payment of the exclusive price stated in the written offer or checkout.

Parties. “Producer” means MasterMillionBeats. “Artist” means the purchaser. “Beat” means the musical work identified in the purchase confirmation. “Track” means the Artist’s new recording created using the Beat.

1 Exclusive License

Producer grants Artist an exclusive, worldwide, non-transferable license to record, reproduce, distribute, publicly perform, monetize, and promote one Track incorporating the Beat. After confirmed payment, Producer will remove the Beat from future licensing offers within a reasonable time.

2 Prior Licenses

Exclusivity is subject to every valid non-exclusive license granted before the exclusive purchase. Those earlier licensees may continue using the Beat according to their agreements. Producer will not grant new licenses after the exclusive sale.

3 Term and Usage

The license is perpetual and has no numerical limit on lawful audio streams, paid downloads, physical sales, or public performances of the Track. Artist may create and monetize music videos and promotional audiovisual content for the Track. Separate film, television, advertising, video-game, or other third-party synchronization placements require Producer’s written approval.

4 Delivery

The files included in the exclusive package are those identified in the written offer or product listing. Unless otherwise stated, delivery includes an untagged MP3, high-quality WAV file, and available track stems. Delivery is digital.

5 Ownership

Producer retains copyright and ownership of the Beat and its underlying composition. Artist owns Artist’s lyrics, vocals, and other original contributions and owns the master recording of the Track, subject to Producer’s retained rights in the Beat. This is an exclusive license, not a sale or assignment of Producer’s underlying copyright, unless a separate signed writing expressly states otherwise.

6 Publishing

Producer owns 50 percent of the publishing interest in the Track’s underlying composition, and Artist owns the remaining 50 percent, unless both parties sign a different written split agreement. Each party may administer its share and collect its share of publishing income. Artist must accurately register Producer’s interest with applicable performing-rights and collection organizations.

7 Credit

Where credits are customarily displayed, Artist must use the credit “Produced by MasterMillionBeats” in metadata, packaging, liner notes, video descriptions, and promotional materials.

8 Restrictions

Artist may not resell, sublicense, distribute, or make the Beat available by itself. Artist may not claim authorship of Producer’s composition or register the Beat or Track with an automated content-identification system in a manner that interferes with prior valid licensees. Artist may not transfer this license without Producer’s written consent.

9 Samples and Artist Content

If a third-party sample is disclosed, Artist is responsible for obtaining any clearance required for Artist’s release. Artist represents that Artist’s added lyrics, vocals, artwork, and other contributions do not infringe another party’s rights.

10 Payment and Refunds

Payment is nonrefundable after the exclusive rights and digital files have been delivered, except where applicable law requires otherwise. If payment is reversed or charged back, the exclusive license is suspended until the payment dispute is resolved.

11 Warranties and Liability

Producer represents that Producer controls the rights granted, subject to earlier licenses and any disclosed sample. Each party is responsible for claims arising from that party’s breach or infringing contribution.

12 Governing Law

This agreement is governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. The parties consent to jurisdiction in the state or federal courts located in Virginia that have authority over the dispute.

13 Entire Agreement

This agreement, the written offer or product listing, and the purchase confirmation constitute the entire agreement for the Beat. Any change must be in a writing accepted by both parties.

Electronic acceptance. Online purchase and payment constitute Artist’s electronic acceptance. If signed copies are requested, the parties may sign below.
